1. About these Terms

These Terms of Use (“Terms“) apply to your use of www.oriient.me and any subdomain we operate for a specific campaign or landing page (together, the “Website“). The Website is operated by Oriient New Media Ltd., Beit Hilel 18, Tel Aviv, Israel (“Oriient“, “we“, “our” or “us“).

By using the Website, you agree to these Terms. If you do not agree, please do not use the Website. If you use the Website on behalf of an organisation, you confirm that you are authorised to accept these Terms for it. The Website is intended for business users and is not directed at children.

These Terms do not cover our SDK, the customer dashboard at dashboard.oriient.me, or the services we provide to customers. Those are governed by the agreement you have with us: a signed agreement or, where there is none, our SDK Terms and Conditions at www.oriient.me/terms-and-conditions. If these Terms conflict with that agreement, that agreement prevails.

2. Privacy

Our Privacy Policy at www.oriient.me/privacy-policy explains how we collect and use personal information, and section 4 of it explains how we use cookies. It is a separate notice. It is not part of these Terms, and accepting these Terms does not mean you consent to any use of your personal information. Where we rely on your consent, we ask for it separately.

3. Using the Website

You may browse the Website, save or print pages for your own reference, share links to it, and use its content to evaluate Oriient’s products and services.

You must not:

• use the Website in a way that breaks any law or infringes anyone’s rights;
• copy, republish, sell or distribute Website content, or use it to build a product, service or database, except as these Terms allow or with our written permission;
• access the Website by automated means, except as section 4 allows;
• interfere with the Website’s operation or security, including by attempting unauthorised access, overloading it, or bypassing any access control;
• upload or transmit viruses, malware or other harmful code;
• impersonate any person or organisation, or submit false information through our forms;
• collect personal information about other visitors to the Website; or
• remove or change any copyright, trademark or other proprietary notice.

4. Search engines, AI services and automated access

Search engines, AI services and link-preview tools may access the public pages of the Website, including to index, quote and summarise them and to train AI models, provided they follow the instructions in our robots.txt file and do not place an unreasonable load on the Website. Scraping or bulk downloading of Website content for any other purpose needs our prior written permission.

5. Our content and trademarks

The Website and its content, including text, graphics, images, video, software and design, are owned by Oriient or its licensors and are protected by copyright, trademark and other laws. We give you a limited, non-exclusive, non-transferable and revocable right to use the Website in line with these Terms. We reserve all other rights.

“Oriient” and the Oriient logo are trademarks of Oriient New Media Ltd. You may not use them without our written permission, except to refer to Oriient accurately. Names and logos of other companies shown on the Website belong to their owners.

6. Information on the Website

The Website gives general information about Oriient and our products. Performance figures on the Website, such as positioning accuracy, are based on our deployments and testing. Results at a specific site depend on its layout, devices and conditions. Products, features and specifications may change. Commitments on scope, performance and price are made only in a signed agreement. Blog posts and news items reflect the facts on their publication date.

7. What you send us

If you contact us or submit a form, you confirm that the information you provide is accurate and that you are entitled to share it.

Please do not send us confidential information through the Website. Unless we have a signed confidentiality agreement with you, we treat ideas and suggestions you send through the Website as non-confidential, and we may use them without any obligation to you. Our Privacy Policy covers how we handle the personal information you send us.

8. Third-party sites

The Website links to sites and services we do not control, such as LinkedIn, YouTube and Facebook. We are not responsible for their content or practices. Their own terms and privacy policies apply.

9. Changes to the Website and suspension of access

We may change, suspend or discontinue any part of the Website at any time. We may suspend or block access to the Website for anyone who breaches these Terms. Sections 5 and 10 to 15 continue to apply after your access ends.

10. Disclaimer

The Website is provided “as is” and “as available”. To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the Website will be uninterrupted, error-free or free of harmful components.

11. Limitation of liability

To the extent permitted by law:

• Oriient, its affiliates, and their officers, directors, employees and agents are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to the Website or these Terms; and
• our total liability for all claims arising from or related to the Website or these Terms is limited to USD 100.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, or for death or personal injury caused by negligence.

12. Indemnity

You agree to indemnify Oriient, its affiliates, and their officers, directors, employees and agents against any third-party claim, and the resulting losses and reasonable costs, including legal fees, arising from your breach of these Terms or your unlawful use of the Website.

13. Changes to these Terms

We may update these Terms. We will post the updated version on this page with a new “Last updated” date. The updated Terms apply to your use of the Website from that date. If you do not agree to them, please stop using the Website.

14. Governing law and courts

These Terms, and any dispute arising from or related to them or to the Website, are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts in Tel Aviv-Yafo, Israel have exclusive jurisdiction.

Nothing in these Terms limits any rights you have under laws that cannot be changed by contract.

15. General

Subject to section 1, these Terms are the entire agreement between you and Oriient about your use of the Website. If any part of these Terms is found unenforceable, the rest remains in effect. If we do not enforce a right, we have not waived it. You may not transfer your rights under these Terms without our written consent. We may transfer ours. These Terms do not create a partnership, agency or employment relationship. Headings are for convenience only, and “including” means “including without limitation”.
